These Terms of Service ("Terms") govern your use of the Groundwork website and services. Groundwork is a service of Prompt Flow LLC ("Groundwork," "we," "us," or "our"), based in San Diego, California. By using our website or services, you agree to these Terms.
1. What we do
Groundwork provides marketing services for local trade and home-service businesses, including website design and hosting, Google review growth, missed-call text-back, lead capture and notification, and Google Business Profile setup.
2. Plans, billing & cancellation
- Our standard plan is billed monthly (currently $297/month) and is month-to-month — there is no long-term contract.
- You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds are given for partial months.
- We may update pricing with at least 30 days' notice; changes apply to future billing periods only.
3. Your content & ownership
- You retain ownership of your business name, logo, photos, and content you provide to us.
- Your domain name is registered in your name (or transferred to you), and you keep it if you leave.
- You grant us a license to use your content to build and operate your website and marketing while you are a customer.
4. Your responsibilities
- Provide accurate business information and keep it up to date.
- Only ask us to send review requests or messages to your own customers who have a genuine relationship with your business.
- Comply with applicable laws in your use of the services, including telemarketing and text-messaging laws for messages sent on your behalf.
5. SMS / text-messaging program terms
Groundwork text messaging
By opting in to text messages through the chat widget on this website, you agree to receive conversational, customer-care, and marketing/promotional text messages from Groundwork (Prompt Flow LLC). Consent is not a condition of purchase.
- Message frequency varies.
- Message and data rates may apply. Contact your wireless carrier for details about your plan.
- Opt out any time by replying STOP. You will receive a final message confirming your opt-out.

- Wireless carriers are not liable for delayed or undelivered messages.
- See our Privacy Policy for how we handle your information. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.
6. Acceptable use
You may not use our website or services to send spam or unlawful messages, infringe others' rights, distribute malware, or misrepresent your business. We may suspend or end service for abuse.
7. Disclaimers
Our services are provided "as is." We work hard to get results, but we do not guarantee specific outcomes such as search rankings, review counts, lead volume, or revenue. Third-party platforms (Google, wireless carriers, hosting providers) may change or experience outages beyond our control.
8. Limitation of liability
To the fullest extent permitted by law, Prompt Flow LLC's total liability for any claim arising out of the services is limited to the amount you paid us in the three (3) months before the claim arose. We are not liable for indirect, incidental, or consequential damages.
9. Governing law
These Terms are governed by the laws of the State of California. Any dispute will be resolved in the state or federal courts located in San Diego County, California.
10. Changes to these Terms
We may update these Terms from time to time. We'll post the new version here with an updated "Last updated" date. Continued use of the services means you accept the updated Terms.
